TC Digital Solutions: Service Agreement & Terms of Use

1. Ownership of Intellectual Property

All websites, custom graphics, and code developed by TC Digital Solutions remain the sole property of TC Digital Solutions. The Client is granted a non-exclusive license to use the website and its content for the duration of their active subscription.

• Domain Names: Any domain names registered or managed by TC Digital Solutions on behalf of the Client remain under our ownership and control.

• Transfer of Rights: Ownership of the website files, design, and domain name will only be considered for transfer if a formal "Buyout or Transfer Agreement" is reached and all associated fees are paid in full.

2. Payment Terms & Direct Debits

• Billing Cycle: Services are billed on a monthly or annual basis via Direct Debit.

• Late Payments: If a payment is unsuccessful, the Client will be notified immediately.

• Suspension of Service: If payment is not received within 7 days of the due date, TC Digital Solutions reserves the right to suspend the website and any associated email services (Google Workspace). A formal "Warning of Suspension" will be sent via the support portal or registered email 24 hours prior to the site being taken offline.

3. Minimum Term & Cancellation

• Contract Length: All website packages are subject to a 12-month minimum term starting from the date of the first subscription payment.

• Notice Period: Should the Client wish to cancel after the 12-month period, a 30-day written notice is required.

4. Transfer & Exit Fees

If the Client wishes to move their website or domain to another provider after the initial 12-month term, the following applies:

• Admin Transfer Fee: A flat fee of £250 is payable to cover the labor involved in preparing files, unlocking domains, and transferring "Auth Codes."

• Content Extraction: TC Digital Solutions will provide the Client with the raw text and images originally provided by the Client. We do not guarantee the transferability of platform-specific features (e.g., Wix apps or Google Sites layouts) to other hosting providers.

5. Support & Maintenance

• Portal Use: All support requests must be submitted through the official TC Digital Solutions Support Portal.

• Scope: Subscriptions cover "Maintenance" (keeping the site live and secure) and "Minor Updates" (as defined by your chosen tier). Major redesigns or new feature builds outside of the original brief may incur additional hourly charges.
